Terms of Service

These Terms of Service govern access to and use of NorthAxis Dispatch, including the dispatch, brokerage, reporting, document, and account management tools made available through the platform. By creating an account, accepting an invite, or using the service, you agree to these terms on behalf of yourself and, where applicable, the company you represent.

If you are using NorthAxis Dispatch for a business, you represent that you have authority to bind that business to these terms.

NorthAxis Dispatch provides software for freight brokerage and dispatch operations, including customer management, carrier management, load management, quoting, invoicing, document storage, reporting, and related workflow tools. We may add, remove, or modify features over time.

You are responsible for how you use the platform in your operations, including any load tendering, billing, accounting, carrier onboarding, compliance review, and communications sent through or generated from the service.

Each account is for authorized use only. You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account. You must promptly notify us if you suspect unauthorized access.

Account roles, permissions, and company access may be limited by your company administrator, your subscription plan, or platform-level controls. We may suspend or disable accounts that violate these terms, create security risk, or are associated with unlawful conduct.

As between NorthAxis Dispatch and the customer using the service, the customer retains ownership of its operational data, uploaded documents, and business records stored in the platform, subject to the rights necessary for us to host, secure, back up, process, and transmit that data to provide the service.

You are responsible for the accuracy, lawfulness, and permissions associated with any data you upload or enter, including shipper, consignee, customer, carrier, driver, invoice, and document information.

You may not use NorthAxis Dispatch to violate applicable law, infringe rights, gain unauthorized access, interfere with service security, upload malicious content, scrape or reverse engineer the service except where prohibited by law, or misuse the service for spam, fraud, or deceptive conduct.

You may not attempt to access another customer’s data, evade company scoping, or misuse exported documents, PDFs, or reports.

If NorthAxis Dispatch is offered under a paid subscription, fees, billing cycles, plan limits, and renewal terms will be set out in your order form, plan selection, or written commercial agreement. Unless otherwise agreed, fees are non-refundable except where required by law.

We may suspend or restrict access for overdue accounts, security emergencies, legal compliance reasons, or material violations of these terms.

We will use commercially reasonable efforts to keep the service available, but NorthAxis Dispatch is provided on an as-available basis. Scheduled maintenance, outages, third-party service interruptions, and security events may affect availability.

Unless separately agreed in writing, no specific uptime commitment, support response time, or recovery target is guaranteed.

We implement administrative, technical, and organizational measures designed to protect customer data against unauthorized access, loss, misuse, and disclosure. No internet-based service can be guaranteed completely secure, and you acknowledge that residual risk exists.

You are responsible for configuring users, roles, assignments, and internal access appropriately within your company’s workspace.

NorthAxis Dispatch may integrate with or rely on third-party infrastructure, storage, email providers, hosting services, mapping tools, export libraries, or payment and communication services. Those third-party services are governed by their own terms and privacy practices.

We are not responsible for outages, failures, or losses caused solely by third-party providers beyond our reasonable control.

NorthAxis Dispatch does not provide legal, tax, accounting, insurance, brokerage licensing, or regulatory compliance advice. You are responsible for obtaining your own professional advice and complying with transportation, privacy, accounting, and commercial laws that apply to your business.

To the maximum extent permitted by law, the service is provided without warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. To the maximum extent permitted by law, NorthAxis Dispatch will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages, or for data loss arising from your use of the service.

You may stop using the service at any time. We may suspend or terminate access if you materially breach these terms, create security risk, fail to pay applicable fees, or if continued service would violate law.

Upon termination, access may be revoked and data may be deleted in accordance with our retention practices, contractual commitments, and applicable law.

We may update these terms from time to time. If we make material changes, we may provide notice through the service, email, or other reasonable means. Continued use of the service after the updated terms take effect constitutes acceptance of the revised terms.
